General Terms and Conditions of Sale

1. Identification of the service provider

2. Definitions

“Services”: translation (sworn and non-sworn), interpretation and related services (apostille on request, paper delivery).
“Client”: consumer or professional ordering a Service.
“Quotation”: written proposal specifying price, deadlines, deliverables, conditions.

3. Purpose & scope

These General Terms and Conditions govern all orders placed with docutrad. They take precedence over the Customer's terms of purchase, unless otherwise agreed in writing.

4. Order – Contract Formation

Quote (valid for 30 days unless otherwise stated). The order is formed by: (i) express acceptance of the quote (signature/validation) and (ii) payment due upon ordering (unless otherwise stipulated).
Docutrad may refuse or suspend an order in the event of illegible, illegal, or incomplete documents, risk of fraud, or non-payment. Electronic validations and exchanges constitute proof of delivery.
File upload (UploadKit): The Client remains responsible for the files transmitted (accuracy, readability, absence of viruses, legality). Defective files may delay delivery.

5. Services & Deliverables

Services: sworn and non-sworn translation; interpretation; options (apostille on request; paper delivery by courier).
Default deliverable: Signed PDF sent via email. Any specific format/layout must be specified in the quote.

6. Price & Payment

Prices in euros net of taxes. Micro-enterprise: VAT not applicable – art. 293 B of the French General Tax Code.
Payment is due upon ordering via Stripe (unless otherwise stipulated).

Late payment:
– Professionals: legal interest + fixed compensation of €40 (Commercial Code L441-10).
– Consumers: legal interest (no compensation €40).
docutrad may suspend execution in the event of non-payment.

7. Delays – Maintenance/Force Majeure – Suspension

Delivery times in working days, indicative; information in case of foreseeable delay.
No liability in case of force majeure (C. civ. 1218) or failure of the Client (missing information/documents, payment not received).
In the event of non-payment or insufficient information, execution is suspended.

8. Right of withdrawal (consumers)

In accordance with Article L221-28 of the Consumer Code, the right of withdrawal does not apply to services that are clearly personalized or performed before the end of the period.
Since translation is a bespoke service, no cancellation is possible after validation and start.

9. Delivery

Delivery by email (PDF) or, if option is available, paper delivery by carrier (carrier's conditions and delivery times apply).

10. Complaints – Reissue in case of administrative refusal

Written complaint to client@docutrad.fr within 5 working days after delivery (objective and precise errors; style nuances excluded).
In the event of an administrative refusal related to form (e.g. formal statements), docutrad can proceed with a reissue free of charge within 30 days of delivery, without substantive modification or addition of new information.

11. Confidentiality & Prohibited Content

docutrad keeps the documents transmitted confidential and does not disclose them to unauthorized third parties, except where legally required.
By default, sent via email; secure channel available upon request.
The Client guarantees the absence of illegal/counterfeit/virus content in the transmitted files (including via UploadKit).

12. Intellectual Property – Translation Rights

Subject to the rights to the source work, the translation constitutes a protected work (CPI L112-3).
docutrad grants the Client a non-exclusive, worldwide and non-transferable license to use the software, limited to the agreed purpose.
Any transfer of proprietary rights requires a written agreement (scope, duration, remuneration).

13. Liability – Limitation

docutrad provides a faithful translation that conforms to the order.
No responsibility is given for misuse of the deliverable or for refusal by an administration due to uncommunicated requirements or requirements unrelated to the service.
Liability limited to proven direct damages, capped at the price paid for the Service.

14. Customer reviews (Trustpilot / Google Reviews)

Reviews are published via third-party platforms; they remain the responsibility of their authors. docutrad may request a review after purchase and moderate/report reviews that are clearly illegal (abusive, defamatory, discriminatory, or unrelated to a real experience).

15. Consumer mediation

In accordance with Articles L.616-1 and R.616-1 of the Consumer Code, any consumer Client may resort free of charge to a mediator in the event of an unresolved dispute.

16. Applicable Law – Jurisdictions

French law. French courts have jurisdiction, subject to mandatory provisions protecting consumers.
